An event or circumstance which prevents the Reserve from performing its obligations under these Terms of Use, which event or circumstance was not anticipated as of the date these Terms of Use were agreed to, which is not within the reasonable control of, or the result of the negligence of, the Reserve, and which, by the exercise of reasonable commercial efforts, the Reserve is unable to overcome or avoid or cause to be avoided.
